Simulations Plus: Buyout Deal Presents Limited Upside for New Investors

Nouriel Roubini

Economist and professor known for predicting the 2008 crisis, writing on global macroeconomic risks.

Simulations Plus, a pharmaceutical software company, recently disclosed its financial results for the third quarter of fiscal year 2026. The report highlighted a robust 7% increase in revenue, alongside a significant improvement in net income, which reached $3.6 million. These positive figures underscore the company's steady operational performance and financial health prior to a major strategic development.

A notable event for Simulations Plus is the definitive agreement for its acquisition by Altaris, a private equity firm. This all-cash transaction values Simulations Plus at $375 million, with Altaris offering $18.5 per share. The current market price of Simulations Plus's stock, at $18.23, indicates a merger-arbitrage scenario, where the gap between the trading price and the acquisition price is minimal. For existing shareholders, this presents a small, almost guaranteed return as the deal approaches its conclusion. However, for potential new investors, the constrained upside, coupled with the inherent risks involved in any merger, suggests that initiating a fresh position may not be sufficiently rewarding. Therefore, a 'Hold' rating is advised, recommending that current investors retain their shares to capture the small gain, while discouraging new investments due to the limited potential for significant returns.

The current market landscape emphasizes prudent investment decisions. While the acquisition of Simulations Plus by Altaris offers a secure, albeit modest, return for existing stakeholders, it serves as a reminder to meticulously evaluate potential gains against associated risks. Embracing opportunities that promise substantial growth and innovation, while steering clear of ventures with restricted upside, leads to a more dynamic and prosperous investment journey.
