Hitek Global Inc. (HKIT) recently saw a dramatic increase in its stock value during after-hours trading, jumping 60% to $0.064. This unexpected rally followed a 27.27% decline earlier in the day, closing at $0.040. The catalyst for this surge was the company's announcement of a registered direct offering, designed to secure capital through the issuance of new securities.

The offering involves 1.5 million Class A ordinary shares priced at $0.03 each, alongside pre-funded warrants enabling the purchase of up to an additional 98.5 million shares. These warrants are set at a price of $0.0299 per unit, with an exercise price of $0.0001 per share, effectively aligning with the per-share offering cost. The initial phase of this capital-raising initiative is projected to generate $3 million, with provisions for subsequent closings that could bring the total to $9 million under the same agreement.

This transaction is proceeding in accordance with a securities purchase agreement established on March 27, 2026. The delivery of these securities is anticipated around March 30, contingent on standard closing procedures. Univest Securities, LLC has been appointed as the placement agent to oversee this financial arrangement.

Hitek Global, structured as a Cayman Islands holding company, conducts its business operations primarily within China through various subsidiaries and contractual agreements with a variable interest entity. Despite not holding direct equity in the operational entity, the company consolidates its financial outcomes in adherence to U.S. GAAP guidelines via these existing agreements.

Currently, the company's market capitalization stands at $1.07 million. Its stock has experienced a significant downturn over the past year, dropping 96.80% from a 52-week high of $4.18 to a 52-week low of $0.037. This places HKIT shares near the lowest point of their annual trading range. Benzinga’s Edge Stock Rankings further indicate a consistently negative price trajectory for HKIT across all observed periods.
